​Acquisitions & Strategic initiatives: Geetika has advised on acquisitions and deals of strategic importance:

 

• Acquisition of leading API fintech startup for USD 80 million approx. which included advising on a complex structure and drafting and negotiating the definitive documents.

• Acquisition of a proprietary enterprise platform which included drafting of Asset purchase agreement and employee agreements for the founders.

• Commercial agreements with a major payment network aiming at a strategic partnership across Southeast Asia.
   

Fund raising: Part of the team manging the end-to-end investment rounds amounting to USD 700 million approx. Conducting legal due diligences, drafting and negotiating definitive documents, Share Purchase Agreements, Shareholders Agreements and Share Subscription Agreements.

 

General Corporate Advisory: 

 

• Significant experience in designing of financial products such as home loans, loan against property, lease rental discounting, project & construction financing etc. Was appointed as the Principal Officer for the company for ensuring compliances with the regulator i.e National Housing Bank.

• Drafted and advised on concession Agreements for Ground Handling, Cargo logistic centers and standardized Purchase Orders and SOPs for procurement contracts. 

• Advised social networking portal and travel and e-commerce portals including drafting user agreements, privacy policy and site disclaimers for these above portals. 

• Drafted Payment Gateway agreements, Short code agreements, licensing agreements, software licensing agreements, NDAs, lease deeds, agency tie-ups etc. 

• Successfully led and closed Licensing Agreements with two major airlines for constructing, developing, and maintaining a hangar facility for their aircrafts as well as Concession agreement for the Air Cargo Logistic Centre at the IGI Airport, New Delhi.

 

Regulatory:

 

• Part of the team that obtained the first few Payment Aggregator In-principle approvals from RBI. Advised and interpreted the PA guidelines for payments business, drafted the application and related documents.

• Filed for BBPOU and PUE license applications which involved drafting internal policies, putting the application together and coordinating with the RBI.  

 

 

Geetika has also trained key corporate stakeholders in matters of corporate governance, compliance & risk mitigation and provided support and advisory to HR, Finance, Operations, Marketing, Sourcing and Risk teams to up-skill & develop key skills in corporate compliance and risk mitigation for their functions.
